1 - NAME AND OBJECT

The name of the club is Loch Broom Sailing Club
and the pennant of the club shall incorporate a red herring.

The object of the club is to promote and
facilitate the sport of sailing.
|

|
||||
2 – MEMBERSHIP

||||||

|
Membership of the club shall be open to anyone
interested in the sport of sailing regardless of sex, age, disability,
ethnicity, nationality, sexual orientation, religion or other beliefs.

All prospective members must complete the
application form and submit the relevant membership fee. They will then be
admitted as provisional members. New members can be confirmed as full members
at the next Committee meeting, or Extraordinary General Meeting (EGM) or
Annual General Meeting (AGM).

|
New members must receive an induction by a member
of the Committee as to the rules and traditions of the club. A mentor will be
nominated for each new member as their point of contact for club matters.

The Committee may refuse membership, or remove
it, but only for good cause - such as conduct or character likely to bring
the club into disrepute. Appeal by the individual against refusal or removal
may be made to the Committee who will then follow the procedure set out in
section 2.8.

The club on the recommendation of the Committee
may propose Honorary Members whose election can be formally endorsed at an
AGM or EGM.

Annual subscriptions, as may be agreed by the Committee,
and ratified at an AGM or EGM, shall be due at 1st January for the year
ahead. Any member not paying by 1st
March, may at the discretion of the Committee and on notification have
their membership terminated or be asked to re-apply for membership. Where
possible, annual subscriptions should be paid by standing order or direct debit.

Annual subscriptions and fees shall be reviewed
by the Committee each autumn. Any amendments must be endorsed by an AGM or
EGM in time for standing orders to be amended for the next year’s annual
subscription.

|
Every member joining the club implicitly
undertakes to comply with the rules of the club. Any refusal or neglect to do
so or any conduct which in the opinion of the Committee is either unworthy of
a member or otherwise injurious to the interests of the club shall render a
member liable to expulsion. Before expelling a member, the Committee shall
request an explanation of their conduct and shall give them an opportunity of
defending themselves or resigning their membership. The defending member can
choose someone to accompany them to the meeting. A resolution to apply any
sanction shall be carried by a majority of a two thirds vote by those members
of the Committee present and voting on the resolution.

There may be an entrance or participation fee for
members for specific events or activities. The sum and nature of these is to
be prescribed by the Committee.

Categories of membership shall be as follows:-
Full membership, Family membership, Concessionary membership, Junior membership
and Honorary membership. Within each category the Committee can identify
appropriate sub-categories but only for the purposes of setting membership
subscriptions.

Full members shall have full voting rights,
eligibility to hold office or Committee membership and will have full access
to all amenities.

Family membership shall be available to any
couple together with any dependent children in full time undergraduate
education. All Family members over the age of 16 have full voting rights and
up to two can be eligible for office or Committee membership. All members in
a Family membership shall have access to all amenities as shall be
appropriate. Dependents shall at all times be the responsibility of one or
other adult.

Concessionary members shall include; Senior
Citizen membership (any member attaining the age of sixty-five years),
Students over the age of 18 and in full time education and those in receipt
of means-tested benefits. They shall have full voting rights, eligibility for
office or Committee membership and access to all the amenities of the club.

Junior membership shall apply to members up to
their 18th birthday. Those over the age of 16 may have full voting rights or
be eligible to hold office or Committee membership at the discretion of the Committee.
Amenities as may be appropriate will be available to them as agreed by the Committee.

Honorary membership is awarded by the Club (see
2.5). They shall have full voting rights and eligibility to hold office and
for Committee membership and shall have access to all amenities.

No member in any year may be entitled to exercise
any rights or privileges of membership until their membership fees for that
year and all arrears (if any) are paid in full.

A member elected after 1st October in any year
who shall have paid their subscription for that year shall not be required to
pay any subscription for the following year.

Day membership - on receipt of an appropriate fee
and application any individual is eligible to join the club for a day,
provided they fill in an application form. This permits them to use amenities
as may be appropriate, with the club member collecting the fee responsible
for their conduct.

3 -OFFICERS

|
The officers of the club shall consist of a Commodore,
a Vice-Commodore, an Honorary Secretary, and an Honorary Treasurer who shall
be elected at the AGM in each year to hold office until the conclusion of the
next AGM. The retiring officers shall be eligible for re-election.

No candidate for election to any office (other
than the retiring officers) shall be proposed (and seconded) unless the name
of such candidate and their proposer shall have been sent to the Honorary
Secretary 28 days before the AGM or by a time agreed by the Committee.

In organizing any event that will involve children
under the age of 16, not accompanied by their parents or vulnerable adults,
the club will follow the guidance given by the Highland Council to ensure
that adequate safeguards are in place and followed.

4 -COMMITTEE

The Committee shall consist of the officers,
ex-officio and not more than twelve members of the club elected by the club
in general meeting to hold office until the conclusion of the next AGM.

Candidates for election to the Committee shall be
those members of the retiring Committee who shall offer themselves for
re-election and such other members of the club whose nominations duly
proposed and seconded by members of the club in writing shall have been sent
to the Honorary Secretary in writing 28 days before the AGM or at some time
as may be agreed by the Committee.

If a casual vacancy occurs by death or
resignation the Committee may co-opt a member to fill the vacancy.

A quorum for any Committee meeting shall be five.
If the number of candidates duly proposed and seconded exceeds the
number of vacancies to be filled the election
shall be by ballot.

|
The Committee shall manage the affairs of the club
according to the rules and shall apply the funds of the club to the objects
of the club.
|

The Committee shall make such bylaws, rules and
regulations as they think fit in the management of any club premises or
activities.

It shall be the responsibility of the Honorary Treasurer
to keep a complete and accurate account of the club’s finances.

5 -GENERAL
|

The income of the LBSC shall be solely used for
furthering the objects of the club and for no other purpose. All surplus
income or profits are to be reinvested in the club. No surpluses or assets
will be distributed to members or third parties.

No commercial use may be made of any club
premises or equipment.

|
In the event of dissolution of the LBSC any
assets remaining after settlement of all debts and liabilities shall not be
paid to, or distributed among its members but shall be given or transferred
to a recognised and constituted local organisation(s) having similar objectives
to those of the LBSC. Local is taken to be the catchment area of Ullapool
High School.

6 -HONORARY AUDITOR

Prior to the AGM the Committee shall agree to the
appointment of an ‘independent examiner’ whose duty shall be to check over
the accounts of the club for the then current year. The independent examiner
is not required to be a member of the sailing club.

||||
7 -ANNUAL AND
EXTRAORDINARY GENERAL MEETING

|
An AGM shall be
held at some place in Ullapool between 1st of March and 31st May; the date is
to be fixed by the Commodore. The Honorary
Secretary will give members six weeks notice of the date of the AGM and at least
fourteen days before the AGM details of the venue, agenda and the business to
be brought forward thereat.

No business (except
the passing of accounts and the election of officers and Committee), and any
business that the Committee may order to be inserted in the notice convening
the meeting, shall be discussed at such meeting unless notice thereof be
given to the Honorary Secretary in writing 28 days before the AGM or by a
time agreed by the Committee.

The Committee may,
on giving fourteen days’ notice, call an EGM of the club for any specific
business, the nature of which shall be stated in the summons convening the
meeting, and the discussion at such meeting shall be confined to that
business only.

The Committee shall
also call an EGM on the written request of six members.

At a general
meeting of the club each eligible member may have one vote. In case of an
equality of votes the Commodore (or the person chairing the meeting) shall
have a second or casting vote.

8 -NEW RULES,
AMENDMENTS AND ALTERATIONS

Any alterations or
additions to the constitution of the club must be endorsed at an AGM or EGM. Any
proposal must be submitted in writing to the Honorary Secretary 28 days prior
to the general meeting and be circulated to the Committee.

All such proposed
alterations or additions and any amendments to them which may be proposed and
seconded shall be put to the vote of the meeting and provided that on a show
of hands or, if demanded, on a poll, a majority of two thirds of the votes of
the members present and voting shall be cast in favour of any proposed
alterations or additions or amendments then the same shall be deemed to be
carried. |
